Netaq Terms & Conditions

Welcome to Netaq.

TheseTerms and Conditions ("Terms") form a legally binding agreement between you ("User" or "You") and Netaq Solutions / SPLDigital Services Company ("Netaq," "We,""Us," or "Our"). By accessing or using the Netaq digital marketing platform (the "Platform"), You agree to these Terms. If You do not agree, You must stop using the Platform. These Terms are governed by the laws of the Kingdom of Saudi Arabia.

1. Definitions

  • 1.1 Platform: The Netaq digital marketing platform, including website, applications, APIs, and services.
  • 1.2 Netaq Service: Location-based marketing messaging service utilizing National Address and demographic data.
  • 1.3 Campaign: Any promotional activity initiated by You through the Platform or through the FirstParty (SPL Digital Services), including SMS, WhatsApp, or other channels.
  • 1.4 Message/ Promotional Message: Any marketing message delivered via SMS, WhatsApp, or other digital channels.
  • 1.5 National Address: Official addressing system maintained by SDAIA and Saudi Post.
  • 1.6 Personal Data: Any information that identifies or could identify an individual.
  • 1.7 Data: Any raw data, documents, or information provided or generated under this Agreement.

2. Eligibility & Onboarding

  • 2.1 Only registered Saudi businesses may create an account or use the Netaq Service.
  • 2.2 Users must provide:
    • Commercial Registration for first-time onboarding;
    • Updated documents upon Netaq's request;
    • Any additional regulatory documents Netaq or CST requires.
  • 2.3 Prior to activation, Users must provide all sender credentials, including: registered sender name and dedicated WhatsApp Business number (if using WhatsApp through Netaq).
  • 2.4 Any fees or procedures required for sender name registration or WhatsApp number activation are borne by the Users.
  • 2.5 Users must always maintain truthful and up to date information.
  • 2.6 Netaq may suspend or terminate accounts created with false, counterfeit, or misleading information.

3. Payment Terms

  • 3.1 Invoices must be settled within 30 days of issuance.
  • 3.2 If payment is late by 14 days, Netaq may suspend service until payment is made.
  • 3.3 Prepaid credits are applied once funds are confirmed.
  • 3.4 Prepaid amounts are non-refundable once Campaigns are approved and unused balances do not carry over to the next contract term.
  • 3.5 Any invoice dispute must be submitted within 7 days of issuance; otherwise, the invoice is deemed accurate.
  • 3.6 All outstanding amounts must be paid within 30 days of termination.

4. Campaign Approved

  • 4.1 All Campaigns and message content are reviewed for compliance withPDPL, CST rules, and all applicable laws.
  • 4.2 Netaq may reject or suspend Campaigns that contain prohibited, obscene, deceptive, harmful, or illegal content.
  • 4.3 Campaign review is typically completed within 3 business days.
  • 4.4 You remain fully responsible for the legality and accuracy of message content.

5. Use of the Service

  • 5.1 The User is fully responsible for all message content sent through Netaq.
  • 5.2 Users shall not:
    • Misuse or interfere with the Netaq Platform or systems;
    • Send illegal, offensive, obscene, defamatory, discriminatory, or misleading content;
    • Upload or transmit viruses, malware, malicious scripts, or harmful files;
    • Engage in spam, unsolicited marketing, pyramid schemes, or fraudulent activities;
    • Send messages that violate CST regulation, PDPL, or any applicable law;
    • Impersonate any person or entity or misrepresent identity;
    • Host, store, or transfer Netaq-related data outside the Kingdom of Saudi Arabia.
  • 5.3 Users must obtain all required sender IDs, WhatsApp Business approvals, and regulatory licenses.
  • 5.4 If a message is blocked due to prohibited content, the User is not entitled to compensation.

6. Personal Data Protection

  • 6.1 Both Parties must comply with Saudi PDPL and all related regulations.
  • 6.2 Users may use data only for the purposes defined in this Agreement.
  • 6.3 If a message recipient requests to stop receiving messages, the User must notify Netaq immediately.
  • 6.4 Data may not be stored, processed, or transferred outside the Kingdom of Saudi Arabia.
  • 6.5 Upon termination:
    • The user must immediately stop using all data;
    • All data must be deleted within 30 days;
    • Written confirmation of deletion must be provided.

7. Data Ownership & Restrictions

  • 7.1 National Address data and all related datasets remain owned by their original providers.
  • 7.2 Netaq receives a limited license to use data solely to execute Campaigns. Users may not access raw datasets.
  • 7.3 Neither Party may export or store data outside Saudi Arabia or share it with third parties without prior written approval.
  • 7.4 Data may only be used for the purposes defined in this Agreement.
  • 7.5  Upon termination, You must delete all data within 30 days and provide written confirmation.

8. Third-Party Services

  • 8.1 The Platform may integrate with third-party services such as the WhatsApp Business API.
  • 8.2 Your use of third-party channels is subject to their respective terms and conditions.

9. Analytics & Reporting

  • 9.1 Dashboards display aggregate, anonymized Campaign performance metrics.
  • 9.2 Netaq does not guarantee absolute accuracy due to external technical factors.

10. Cybersecurity & IT Requirements

  • 10.1 You must:
    • Comply with National Cybersecurity Authority standards;
    • Use approved encryption methods when system integration is required;
    • Notify Netaq immediately of security incidents or system malfunctions;
    • Not perform unauthorized actions on Netaq systems;
    • Avoid using hosting, cloud storage, or backup systems outside the Kingdom of Saudi Arabia;
    • Implement secure archiving, periodic backups, and access controls.
  • 10.2 Netaq is not liable for losses resulting from technical interruptions or third-party outages.

11. Confidentiality

  • 11.1 Both Parties must maintain confidentiality of all exchanged information, including National Address data and customer information.
  • 11.2 Confidential information may only be disclosed to authorities when required by law and after notifying the other Party (unless prohibited).

12. Termination

  • 12.1 Netaq may suspend or terminate the Service if:
    • Required financial guarantees are not provided;
    • Payments are overdue;
    • The User breaches these Terms or applicable regulations;
    • The User submits false, misleading documents;
    • Material or repeated violations occur;
    • Authorities such as CST require suspension.
  • 12.2 The User may not request termination through written notice.

13. Limitation of Liability

  • 13.1 Netaq is not liable for delays, non-delivery, or performance issues caused by external providers, force majeure, or technical interruptions.
  • 13.2 Netaq’s maximum liability is limited to Your unused account balance.
  • 13.3 Netaq is not responsible for:
    • Your misuse or unlawful use of the service;
    • Regulatory fines resulting from the content of Your message;
    • Loss of profits, indirect damages, or third-party disputes.
  • 13.4 You shall fully compensate Netaq for fines or claims arising from violations of use.

14. Intellectual Property

  • 14.1. All intellectual property including software, tools, data structures, algorithms, designs, and documents remains owned by Netaq.
  • 14.2 These Terms do not transfer or grant any intellectual property rights to the User.
  • 14.3 The User may not use, copy, reproduce, or distribute Netaq trademarks, logos, or branding without prior written approval.

15. Governing Law & Dispute Resolution

  • 15.1 These Terms are governed by the laws of the Kingdom of Saudi Arabia.
  • 15.2 Disputes will first be addressed amicably within 30 days; failing settlement, disputes are referred to the competent court in Riyadh.

16. Force Majeure

  • 16.1 Either Party shall not be held liable for the performance failure for events beyond their control (e.g., natural disasters, government orders).
  • 16.2 If providing the service remains in Force Majeure for more than 3 months, either Party may terminate with written notice.

18. Modifications

  • 18.1 Netaq may modify these Terms from time to time and your continued use of the service will be considered as acceptance.

19. Miscellaneous

  • 19.1 If any provision is found unenforceable, the remaining provisions remain valid.
  • 19.2  These Terms represent the entire agreement between You and Netaq.
  • 19.3 You may not assign your rights without written approval; Netaq may assign obligations to its affiliates.
  • 19.4 Netaq shall be responsible for ensuring full compliance with all applicable Kingdom of Saudi Arabia laws, regulations, and regulatory requirements related to both WhatsApp and SMS messaging.
